CONFIDENTIALITY AGREEMENT

INFORMATION CONTAINED IN THIS PRODUCT KNOWLEDGE DATABASE CONTAINS “CONFIDENTIAL INFORMATION” AND/OR “TRADE SECRETS” OF KI

Some information contained in this Product Knowledge Database is confidential and is intended for internal use only by permitted KI employees. These confidential documents are marked as “CONFIDENTIAL” or “TRADE SECRETS”.
I assert that I am a KI employee, and in consideration of my continued employment, access to the information contained in this Product Knowledge Database, and other good and valuable consideration, the receipt and sufficiency of which I acknowledge, I hereby agree as follows:

1. Information in this Product Knowledge Database contains trade secrets, as defined in Wisconsin’s Uniform Trade Secret Act, Sec. 134.90, Wis. Stats. (hereafter “Trade Secrets”) and other confidential and proprietary information (hereafter “Confidential Information”) of KI. I understand and agree that KI exclusively owns all rights, title, and interests in, to, and under the Confidential Information and Trade Secrets, and any and all expressions of the same, including but not limited to any and all trademarks, trade secrets, copyrights, patents, and other intellectual property rights.

2. I will keep confidential and not disclose any Confidential Information contained herein to any Competitor of KI. “Competitor” is defined as any entity providing the same or similar products and/or services in the same market(s) as KI.

3. I will keep confidential and not disclose any Trade Secret contained herein to any person or entity for any purpose whatsoever.

4. I will not in any way copy, duplicate and/or reproduce any Confidential Information and/or Trade Secret, but will hold the same in trust and confidence for KI, and use the same only in the scope and course of my employment with KI.

5. The obligations of confidentiality herein shall apply during my employment with KI and: (1) with respect to Confidential Information for as long as the Confidential Information continues to be maintained confidential and has not been placed in the public domain or has not subsequently entered the public domain through a breach of confidence; and (2) with respect to Trade Secrets, for as long as KI’s Trade Secrets continue to constitute trade secrets under Wisconsin’s Uniform Trade Secret Act.

KI disclaims any liability resulting from the unauthorized use and reliance by any third party of any information contained herein.
